Our founder Lorena Masiá has proven experience in regulated companies, having headed the Legal Department of the venture capital company and its managing company SI CAPITAL for more than 12 years -SI Capital SCR and SI Capital Private Equity, SA SGEIC-, as well as their entire portfolio companies in their different projects.
In the start-up ecosystem
Investment rounds
Lorena Masiá is very much involved with ESADE BAN, since she has advised many of its investors in different rounds of investment in various start-ups. Among others, in the three rounds of investment in "Signaturit Solutions" (the electronic signature platform) and in the pre-exit round that they formalized in 2020 with a significant private equity.
Other investment rounds
Among the multiple investment rounds that our founder has closed with Business Angels, those of "Fruitbull", "Privilegis", "Anaconda", "Apartool, "Crossbow and Hills", shall be highlighted, together with many others referenced by their founders. In 2022, she advised in the financing round of "Unblur", with 3 family offices in Madrid, and 26 investors from Barcelona and Madrid.
In the case of the biomedical start-up Anaconda Biomed, she has advised in all the typical phases: F&F, Business Angels, Venture Capital and large funds in the biomedical sector, such as Ysios Capital Partners and Asabys Partners. She continues to advise them as "in-house" and secretary of the Board.
Company acquisitions (M&A)
Industrial
Our founder led the acquisition process of an industrial company by several investors or "family offices", by taking a majority stake in it. She coordinated the multidisciplinary legal Due Diligence team and has subsequently acted as secretary and legal adviser to the board of directors.
She has advised on multiple acquisition and sale processes of companies of all kinds, and from all sectors, acting either for financial companies that had the appropriate mandate or assisting any of the involved parties in the process.
Other transactions
The firm has also advised its clients on joint venture projects, mergers, corporate restructuring of groups of companies, both nationally and internationally, acquisition of companies with "distressed assets", sale of assets, or incorporation of subsidiaries of Spanish companies in the United Arab Emirates with the support of efficient local law firms, etc.
Corporate and contractual advice
Lorena Masiá occupies the position of secretary of the Board, and legal adviser in several companies, dealing with all the processes of calling of meetings, drafting of minutes of shareholders and boards of directors meetings, committees and the keeping up the company books.
The founder has wide and consolidated experience in drafting and negotiating Shareholders Agreements, and also in contractual law of all kinds: agency, distribution, franchise, license, lease and service contracts in general. Implementation of all kinds of corporate transactions: resolution of conflicts among partners, unification of corporate policies for groups, distribution of dividends or other forms of return on capital gains etc.
Bankruptcy receiver
Since March 2021, Lorena Masiá has achieved the bankruptcy receiver status and has been appointed by the Courts of Barcelona to carry out various bankruptcy proceedings, adding value in the sale process of "productive units" or in bankruptcy "pre-pack" projects of insolvent companies.
She has also acted as an applying party in various bankruptcy proceedings, coordinating and leading a team composed of economists and restructuring experts with proven experience, according to current bankruptcy law.
